329 UMOWA mi´dzy Rzàdem Rzeczypospolitej Polskiej a Rzàdem Socjalistycznej Republiki Wietnamu o udzieleniu kredytu w ramach pomocy wiàzanej, sporzàdzona w Hanoi dnia 22 stycznia 2008 r.

2. Rząd Socjalistycznej Republiki- Wietnamu potwierdza gotowość wykorzystywania Kredytu zgodnie z przepisami OECD dotyczącymi pomocy wiązanej i oferuje Rządowi Rzeczypospolitej Polskiej swoje wsparcie w zakresie zapewnienia zgodności z wyżej wymienionymi przepisami OECD.

3. Rzeczpospolita Polska notyfikuje OECD niniejszą Umowę, projekt i kontrakt finansowany w ramach Kredytu. Umawiające się Strony zgadzają się na notyfikowanie OECD niniejszej Umowy, projektu finansowanego w ramach niniejszej Umowy i kontraktu zawartego w ramach projektu. Niniejsza Umowa, projekt i kontrakt finansowany w ramach tej Umowy nie mogą być zakwestionowane przez OECD co do ich zgodności z wymogami Porozumienia w Sprawie Oficjalnie Wspieranych Kredytów Eksportowych.

4. Projekt i kontrakt notyfikowany OECD zgodnie z procedurą zawartą w Porozumieniu w Sprawie Oficjalnie Wspieranych Kredytów Eksportowych, jeżeli OECD zgłosiło do nich zastrzeżenia, nie będą finansowane w ramach niniejszej Umowy bez względu na fakt, że kontrakt w ramach projektu został zaakceptowany przez Umawiające się Strony, zgodnie z artykułem 3 ustęp 3.

5, Umawiające się Strony poinformują przedsiębiorców ze strony polskiej 1 importerów że strony wietnamskiej o wymogach i procedurach obowiązujących w OECD w zakresie pomocy wiązanej.

Artykuł 3

1. Kontrakt wdrażający projekt finansowany Kredytem, musi być zawarty zgodnie z postanowieniami niniejszej Umowy. Dokumenty eksportowe, w szczególności faktury, prezentowane przez strony kontraktu powinny zawierać klauzulę "w ramach Umowy między Rządem Rzeczypospolitej Polskiej a Rządem Socjalistycznej Republiki Wietnamu o udzieleniu kredytu w ramach pomocy wiązanej sporządzonej w dniu .2.27.01>.200£..”.

2. Kontrakt, o którym mowa w artykule | ustęp 1, będzie zawarty przez przedsiębiorców mających siedzibę na terytorium Rzeczypospolitej Polskiej, zwanych dalej „polskimi przedsiębiorcami”, uprawnionych do zawierania 1 realizacji takiego kontraktu, i importerów z Socjalistycznej Republiki Wietnamu.

3. Kontrakt, zawarty zgodnie z niniejszą Umową, musi być zaakceptowany przeż Umawiające się Strony, zgodnie z następującą procedurą:

a) Ministerstwo Finansów Socjalistycznej Republiki Wietnamu poinformuje pisemnie Ministerstwo Finansów * Rzeczypospolitej Polskiej o zaakceptowaniu kontraktu przez właściwe władze Socjalistycznej Republiki Wietnamu;

— -

b) następnie Ministerstwo Finansów Rzeczypospolitej Polskiej przekaże do Ministerstwa Finansów Socjalistycznej Republiki Wietnamu pisemną akceptację kontraktu;

c) kontrakt wejdzie w życie w terminie 15 dni od daty wysłania przez Ministerstwo Finansów Rzeczypospolitej Polskiej pisemnej akceptacji kontraktu do Ministerstwa Finansów Socjalistycznej Republiki Wietnamu;

d) procedura akceptacyjna nie może przekroczyć 45 dni po każdej stronie.

Artykul 4

Płatności dla polskich przedsiębiorców z tytułu kontraktu podpisanego 1 realizowanego w ramach niniejszej Umowy będą dokonywane w następujący sposób:

a) 10 % (słownie: dziesięć procent) wartości kontraktu będzie płatne w euro przez importerów z Socjalistycznej Republiki Wietnamu jako zaliczka przelewem bankowym, stosownie do warunków kontraktu;

pozostałe płatności dla polskich przedsiębiorców będą dokonywane przez Rząd Rzeczypospolitej Polskiej, reprezentowany przez Ministra Finansów, ża pośrednictwem banku upoważnionego do obsługi Kredytu, zgodnie zartykułem 9 ustęp 1 niniejszej Umowy, ze środków budżetu państwa Rzeczypospolitej Polskiej, stosownie do warunków kontraktu.

b

Wszystkie ceny, ustalone zgodnie z rynkowymi cenami światowymi, oraz wartość kontraktu będą wyrażone w euro.

Towary eksportowane z Rzeczypospolitej Polskiej do Socjalistycznej Republiki Wietnamu w ramach niniejszej Umowy nie mogą stać się przedmiotem reeksportu do innych krajów bcz pisemnej zgody Ministra Finansów Rzeczypospolitej Polskiej,

Wartość towarów i usług polskiego pochodzenia w ramach kontraktu, finansowanego na mocy niniejszej Umowy, nie może być niższa niż 70 % (słownie: siedemdziesiąt procent) wartości tego kontraktu. Umawiające się strony mogą zażądać od eksportera przedstawienia szczegółowych informacji dotyczących spełnienia ww. wymogu Umowy, w tym przedstawienia stosownych dokumentów, np. świadectw pochodzenia.

Artykuł 5

Datą każdorazowego wykorzystania Kredytu będzie data wypłaty środków kredytowych dla polskiego przedsiębiorcy zgodnie z warunkami kontraktu. Płatność będzie dokonywana jedynie po otrzymaniu przez Bank Gospodarstwa Krajowego, upoważnionego do obsługi Kredytu zgodnie z artykułem 9 ustęp 1 niniejszej Umowy, właściwego upoważnienia do wypłaty z Bank for Foreign Trade of Vietnam.

Artykuł 6

1. Spłata każdorazowego wykorzystania Kredytu przez Rząd Socjalistycznej Republiki Wietnamu na rzecz Rządu Rzeczypospolitej Polskiej będzie następowała w 34 równych, półrocznych, kolejnych ratach, płatnych w euro każdepo 15 marca i 15 września danego roku, po upływie 3-letniego okresu karencji od daty każdorazowego wykorzystania Kredytu.

2. Pierwsza rata jest płatna w pierwszym terminie płatności, po upływie 3-letniego okresu karencji od daty wykorzystania Kredytu.

Artykuł 7

1. Kredyt wykorzystany zgodnie z artykułem 5 będzie oprocentowany w wysokości 0,15 % (słownie: zero przecinek piętnaście setnych procenta) rocznie. Odsetki będą naliczane od daty, o której mowa w artykule 5.

2. Odsetki będą płatne w euro, w półrocznych, kolejnych ratach, od daty każdorazowego wykorzystania Kredytu, za okresy odsetkowe kończące się każdego 15 marca i 15 września danego roku.

3. Pierwsza płatność odsetek przypada w końcu okresu odsetkowego, w którym miało miejsce wykorzystanie Kredytu.

4. Odsetki należne za każdy okres odsetkowy naliczane są na bazie 360 dni w roku, biorąc pod uwagę faktyczną liczbę dni (365 [366]/360).

5. W przypadku gdyby Rząd Socjalistycznej Republiki Wietnamu nie dokonał płatności wynikających zniniejszej Umowy zgodnie z terminem ich zapadalności, od niezapłaconych kwot będą naliczane odsetki karme w wysokości 2,0 % (słownie: dwa procent) rocznie ponad stopę podstawową przyjętą w ustępie 1. Odsetki karme będą naliczane po 20 dniach od terminu zapadalności do daty rzeczywistej spłaty.

6. W przypadku zwłoki w zapłacie należnych kwot wynikających z realizacji niniejszej Umowy lub w przypadku ich spłat w niepełnej wysokości, spłacona kwota będzie zaliczana chronologicznie i w pierwszej kolejności na poczet spłaty odsetek kamych, następnie na spłaty odsetek kontraktowych, a w ostatniej kolejności na spłaty kapitału wymagalnego.

Artykuł 8

Jeżeli termin płatności wynikający z warunków niniejszej Umowy przypada na dzień, który nie jest dniem roboczym w kraju poprzez który płatność będzie

dokonywana, płatność zostanie dokonana pierwszego roboczego dnia następującego po pierwotnie wyznaczonym terminie płatności. Dla celów niniejszej Umowy za dzień roboczy uważa się dzień, w którym banki w danym kraju są otwarte dla dokonywania rozliczeń krajowych i zagranicznych.

Artykuł 9

1. W celu umożliwienia dokonania realizacji płatności w ramach niniejszej Umowy, Bank Gospodarstwa Krajowego, działający w imieniu Rządu Rzeczypospolitej Polskiej, otworzy w swoich księgach rachunek w euro na imię Bank for Foreign Trade of Vietnam, o nazwie „Kredyt dla Rządu Socjalistycznej Republiki Wietnamu” dla ewidencji wykorzystania Kredytu oraz kolejnych spłat kapitału odsetek. Bank for Foreign Trade of Vietnam, działający w imieniu Rządu Socjalistycznej Republiki Wietnamu, otworzy rachunek lustrzany na imię Banku Gospodarstwa Krajowego. Prowadzone rachunki kredytowe będą wolne od wszelkich opłat.

2. Bank Gospodarstwa Krajowego i Bank for Foreign Trade of Vietnam zawrą, w terminie 30 dni od wejścia w życie niniejszej Umowy, Porozumienie Bankowe niezbędne do realizacji niniejszej Umowy.

Artykuł 10

1. Z zastrzeżeniem ustępu 2, wszelkie podatki, zobowiązania, obciążenia i inne opłaty, jakie mogą powstać w związku z realizacją kontraktu zawartego w ramach wykonania niniejszej Umowy, będą ponoszone przez każdą ze stron kontraktu w swoim państwie i nie będą finansowane w ciężar Kredytu.

2. Wszelkie podatki dochodowe będą płatne zgodnie z postanowieniami Umowy między Rządem Rzeczypospolitej Polskiej a Rządem Socjalistycznej Republiki Wietnamu w sprawie unikania podwójnego opodatkowania i zapobiegania uchylaniu się od opodatkowania w zakresie podatków od dochodu, sporządzonej w Warszawie dnia 31 sierpnia 1994 r.

3. Wszelkie prowizje bankowe, jak również ewentualne inne opłaty, należne z tytułów związanych z płatnościami w ramach niniejszej Umowy, będą płatne przez każdą ze stron kontraktu w swoim państwie, poza Kredytem.

4, Wszelkie spłaty rat kapitału i płatności odsetek zgodnie z niniejszą Umową, nie będą pomniejszane o żadne opłaty lub podatki nałożone przez władze Socjalistycznej Republiki Wietnamu.

Artykuł 11

1. Wszelkie rozbieżności między mawiającymi się Stronami dotyczące interpretacji lub stosowania niniejszej Umowy będą rozstrzygane w drodze bezpośrednich negocjacji między Umawiającymi się Stronami.

2. W przypadku nieosiągnięcia porozumienia w drodze bezpośrednich negocjacji określonych w ustępie 1 w ciągu sześciu miesięcy, każda z Umawiających się Stron może wnioskować o oddanie rozstrzygnięcia rozbieżności jakiemukolwiek arbitrażowi międzynarodowemu lub trybunałowi międzynarodowemu ad hoc, utworzonemu zgodnie z Regulaminem Arbitrażowym Komisji Narodów Zjednoczonych do Spraw Międzynarodowego Prawa Handlowego (UNCITRAL).

Artykuł 12 Zmiany do niniejszej Umowy mogą być wprowadzone wyłącznie w drodze wymiany

not między Umawiającymi się Stronami. Zmiany wchodzą w życie z dniem otrzymania noty późniejszej.

Artykuł 13

Całość korespondencji i dokumentacji związanej z niniejszą Umową będzie prowadzona w języku angielskim.

Artykuł 14

Umowa niniejsza wchodzi w życie z dniem jej podpisania. Umowa niniejsza pozostaje w mocy do czasu całkowitego wypełnienia przez obie Umawiające się Strony zobowiązań z niej wynikających.

Sporządzono w Hahn2t… dnia 20-01-2007 -w dwóch

jednobrzmiących egzemplarzach, każdy w językach polskim, wietnamskim i angielskim, przy czym wszystkie teksty mają jednakową moc.

W razie rozbieżności przy ich interpretacji, tekst w języku angielskim będzie uważany za rozstrzygający.

Agreement between the Government of the Republic of Poland and the Government of the Socialist Republic of Vietnam on extending a tied aid credit

The Government of the Republic of Poland and the Government of the Socialist Republic of Vietnam, henceforth called the *Contracting Parties” with a view to expand and develop economic co-operation between the Republic of Poland and the Socialist Republic of Vietnam, have agreed as follows:

Article I

1. The Govemmment of the Republic of Poland shall extend a credit in thc amount not exceeding 16 470 000 EUR (say: sixteen million four hundred and seventy thousand EUR), henceforth called "the Credit”, to the Government of the Socialist Republic of Vietnam for the financing of a project in the area of maritime infrastructure modernisation in the Socialist Republic of Vietnam. The Credit shall be used to finance 90% (say: ninety percent) of the value of contract for deliveries of goods and services from the Republic of Poland to the Socialist Republic of Vietnam.

2. The total value of the deliveries of goods and services from the Republic of Poland to the Socialist Republic of Vietnam, financed under this Agreement, shall not exceed 18 300 000 EUR (say: eighteen million three hundred thousand EUR) which constitutes the value of the Credit, increased by the value of down payment mentioned in Article 4 paragraph 1 point a.

3. The enclosure which forms an integral part of this Agreement, presents the project that will be financed under the Credit.

4. The Credit shall be utilised within three years from the date this Agreement enters into force. This period may be extended upon a mutual consent of both Contracting Parties.

Article 2

1. This Agreement, the project as well as the contract financed under this Agreement are in accordance with the OECD regulations conceming tied aid, as defined in the Arrangement on Officially Supported Export Credits and other relevant OECD documents.

The Government of the Socialist Republic of Vietnam confirms its readiness to utilise the Credit in conformity with the OECD regulations on tied aid and offers its support to the Government of the Republic of Poland in ensuring the compliance with the OECD regulations mentioned above.

The Republic of Poland notifies to the OECD this Agreement, the project as well as the contract to be financed under the Credit. The Contracting Parties agree that this Agreement, the project financed under this Agreement as well as the contract concluded within the project will be notified to the OECD. This Agreement, the project as well as the contract financed under this Agreement shall not be challenged by the OECD on the grounds that they are not in accordance with the provisions of the Arrangement on Officially Supported Export Credits.

The project and contract notified to the OECD in accordance with the procedures outlined in the Arrangement on Officially Supported Export Credits, if challenged by the OECD, will not be financed under this Agreement, irrespective of the fact that the contract within the project has been accepted by both Contracting Parties according to Article 3 paragraph 3.

The Contracting Parties will inform entreproneurs on Polish side and the importers on Vietnamese side about the OECD regulations and procedures concerning tied aid.

Article 3

The contract implementing the project financed under the Credit must be concluded in accordance with the provisions of this Agreement. The export documents, especially invoices, presented by contracting parties shall bear the clause "under the Agreement between the Government of the Republic of Poland and the Govemment of the Socialist Republic of Vietnam on extending a tied aid credit done on ..Z2/O(/.20Q4..aauuae...”.

The contract mentioned in Article 1 paragraph 1 shall be concluded by entrepreneurs having their seats in the Republic of Poland, henceforth called "Polish entrepreneurs”, entitled to conclude and implement such a contract, and the importers of the Socialist Republic of Vietnam.

The contract, concluded in accordance with this Agreement, must be approved by the Contracting Parties according to the following procedure:

a) the Ministry of Finance of the Socialist Republic of Vietnam will inform the Ministry of Finance of the Republic of Poland in writing about the approval of the contract by the appropriate authorities of the Socialist Republic of Vietnam; .

b) subsequently, the Ministry of Finance of the Republic of Poland will provide the Ministry of Finance of the Socialist Republic of Vietnam with its written approval of the contract;

c) the contract will enter into force 15 days after the date the written approval of the Ministry of Finance of the Republic of Poland has been sent to the Ministry of Finance of the Socialist Republic of Vietnam;

d) the approval procedure can not exceed 45 days on each side.

Article 4

1. Payments to the Polish entrepreneurs resulting from the contract signed and realised under this Agreement shall be made as follows:

a) 10% (say: ten percent) of the value of contract shall be paid in EUR by the importers from the Socialist Republic of Vietnam as an advance payment by bank transfer, according to the stipulations of the contract;

b) The rest of payments to the Polish entrepreneurs shall be made by the

| Government of the Republic of Poland represented by the Minister of

Finance, by the agency of the bank authorised to service the Credit according

to Article 9 paragraph 1 of this Agreement, from the State Budget of the Republic of Poland, according to the terms of the contract.

2. AI] prices, fixed in accordance with the world market prices, and value of the contract will be denominated in EUR.

3. All the goods exported from the Republic of Poland to the Socialist Republic of Vietnam under this Agreement cannot be re-exported to other countries without the written permission of the Minister of Finance of the Republic of Poland.

4. The value of goods and services of Polish origin within the contract, financed under this Agreement, cannot be less than 70% (say: seventy percent) of the value of this contract. Detailed information concerning the above mentioned, including presentation of the relevant documents e.g. certificates of origin, may be demanded by the Contracting Parties from the exporter.

Article 5

Tbe date of each Credit utilisation shall be the date of disbursement of the funds to the Polish entrepreneur in accordance with the terms of the contract. The payment will be made to the Polish entrepreneur upon receipt by Bank Gospodarstwa Krajowego, authorised to service the Credit according to Article 9 paragraph 1 of this Agreement, of the appropriate payment authorisation from the Bank for Foreign Trade of Vietnam only.

Article 6

1. The repayment of each Credit utilisation by the Government of the Socialist Republic of Vietnam in favour of the Govemment of the Republic of Poland shall take place in 34 equal, semi-annual consecutive instalments paid in EUR on each 15 March and 15 September of a given year after a 3 year grace period from the date of the respective credit utilisation.

2. The first instalment shall be paid on the first payment date after a 3 year grace period from the date of credit utilisation.

Article 7

1. The Credit utilised as in Article 5 above shall bear interest at the rate of 0.15 % (say: zero point fiftcen percent) p.a. The interest shall be calculated from the date mentioned in Article 5.

2. Intcrest shałl be paid in EUR in semi-annual consecutive instalments, from the * date of each credit utilisation, for interest periods ending on each 15 March and 15 September each year.

3. The first interest is payable at the end of an interest period in which utilisation of credit has been made.

4. Due interest for each interest period is calculated on the basis of 360 days a year taking into consideration the effective number of days (365[366]/360).

$. In the event the Govemment of the Socialist Republic of Vietnam fails to make any payment resulting from this Agreement on respective maturity dates, the unpaid amount shall bear default interest at the rate of 2.0% (say: two percent) 'p.a. above the contractual rate as defined in paragraph 1, calculated from 20 days after the maturity date to the date of actual payment.

6. In the event of late payment or if an amount paid under this Agreement is not sufficient to cover the totał amount due, the amount paid shall be applied against amounts due in chronological order and in the first instance against interest accrued after the due date, in the second instance against interest acerued up to the due date and thereafter against principal.

Article 8

In case any payment resulting from this Agreement falls due on a day that is not a business day in the country through which payment will be made, such payment shall be made on the next succeeding business date after the originally stipulated payment date. For the purpose of this Agreement, business date means a date on

which banks are open for domestic and foreign exchange settlements in a given country as above.

Article 9

In order to make possibłe the realisation of payments within the framework of tnis Agreement, Bank Gospodarstwa Krajowego acting on behalf of the Govemment of the Republic of Poland, shall open in its books an account in EUR in the name of Bank for Foreign Trade of Vietnam styled „Tied Aid Credit to the Govemment of the Socialist Republic of Vietnam” to record utilisation of the Credit as well as subsequent payments of due principal instalments and interest. Bank for Foreign Trade of Vietnam, acting on behalf of the Government

of the Socialist Republic of Vietnam, shall open in its books a counter account in the name of Bank Gospodarstwa Krajowego. The Credit accounts shall be free from any charges.

Bank Gospodarstwa Krajowego and Bank for Foreign Trade of Vietnam shall conclude within 30 days from entering into force of this Agreement a Banking Arrangement that is necessary for the implementation of this Agreement.

Article 10

Without prejudice to paragraph 2, any taxes, obligations, charges and other fecs, which may arise in connection with the execution of the contract concluded under this Agreement, will be paid by each side of the contract in its respective country and will not be financed by the Credit.

Any income taxes will be paid in accordance with the provisions of Agreement betwcen the Government of the Republic of Poland and the Government of the Socialist Republic of Vietnam for the avoidance of double taxation and prevention of fiscal evasion with respect to taxes on income, done in Warsaw on 31 August, 1994,

Any bank commissions as well as any other payments, which may be due for any reason whatsoever related to the repayments under this Agreement, will be paid by each side of the contract in its respective country outside of the framework of the Credit.

All repayments of principal and payments of interest instalments under this Agreement shall be made without deduction of any fees or taxes that may be imposed by the authorities of the Socialist Republic of Vietnam.

Article 11

1. Any differences between the Contracting Parties relating to the interpretation and application of this Agreement shall be settled in direct negotiations between both Contracting Parties.

2. In case of failure in reaching an understanding in direct negotiations stipulated in paragraph 1 within six months, each of the Contracting Party can forward a proposal to hand a settlement of discrepancies to any international arbitratjon or arbitration tribunal ad hoc, created in accordance with the United Nations Commission on International Trade Law Regulations (UNCITRAL).

Article 12 - Changes to this Agreement can be introduced only through an exchange of notes

between the Contracting Parties. The changes shall come into force on the date of the receipt of the later note.

Article 13 All correspondence and documentation relating to this Agreement shall be conducted in English.

Article 14 This Agreement shall enter into force on the date of signing, This Agreement

remains valid until all obligations of both Contracting Parties arising from this Agreement are fulfilled.
